Item 8.01. Other Events.

 

As previously disclosed, on October 2, 2023, EchoStar Corporation, a Nevada corporation (“EchoStar” or the “Company”), entered into an Amended and Restated Agreement and Plan of Merger with DISH Network Corporation, a Nevada corporation (“DISH”), and EAV Corp., a Nevada corporation and a wholly owned subsidiary of EchoStar (“Merger Sub”), providing for the merger of Merger Sub with and into DISH (the “Merger”), with DISH surviving the Merger as a wholly owned subsidiary of EchoStar. Effective as of November 13, 2023, DISH has appointed Hamid Akhavan, the current Chief Executive Officer and President of EchoStar, to the additional post of President and Chief Executive Officer of DISH (“DISH CEO”). In connection with such appointment, EchoStar and DISH have agreed that, from November 13, 2023 until the completion or termination of the Merger, EchoStar will pay the full amount of Mr. Akhavan’s current compensation and, upon completion or termination of the Merger, DISH will reimburse EchoStar for a portion of the cost of Mr. Akhavan’s compensation, in proportion to the percentage of time allocated to Mr. Akhavan’s service as DISH CEO during such period (as determined in good faith by EchoStar and DISH, in consultation with Mr. Akhavan). This arrangement has been approved by the Special Committee and Board of Directors of EchoStar.
